1. Acceptance of Terms
By accessing or using the Shield360 platform, website, APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
2. Service Description
Shield360 provides an AI-powered web security platform that includes:
- Real-time threat detection and monitoring for websites and web applications
- JavaScript skimmer and Magecart attack prevention
- Automated compliance reporting (PCI DSS, GDPR, HIPAA)
- Blockchain-verified audit trails for tamper-proof security logs
- RESTful APIs and webhooks for integration with third-party systems
- Dashboard and native applications (macOS, iOS) for monitoring and management
We reserve the right to modify, suspend, or discontinue any part of the Service with 30 days' notice.
3. Account Registration
To use Shield360, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activity under your account
- Notify us immediately of any unauthorized use of your account
You must be at least 18 years old to create an account. Accounts registered by automated methods (bots) are not permitted.
4. Acceptable Use
You agree not to use Shield360 to:
- Violate any applicable laws, regulations, or third-party rights
- Monitor websites that you do not own or have authorization to monitor
- Attempt to reverse engineer, decompile, or disassemble the Service
- Interfere with or disrupt the integrity or performance of the Service
- Access the Service through automated means (scraping, crawling) beyond API rate limits
- Transmit malware, viruses, or other harmful code through the Service
- Resell or redistribute the Service without written authorization
- Use the Service for competitive analysis or to build a competing product
We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy.
5. Billing & Payments
Shield360 offers the following subscription plans:

- Paid plans are billed monthly or annually (annual billing receives a 20% discount).
- All fees are non-refundable except as required by law or as stated in our SLA.
- We may change pricing with 30 days' advance notice. Price changes do not affect the current billing period.
- Failed payments will result in a 7-day grace period, after which the account may be downgraded to Free.
6. Intellectual Property
The Service, including all software, algorithms, designs, text, graphics, and trademarks, is the exclusive property of Shield360, Inc. and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of all data you submit to Shield360. By using the Service, you grant us a limited license to process your data solely for the purpose of providing and improving the Service.
Feedback, suggestions, or feature requests you provide may be used by Shield360 without obligation or compensation.
7. Privacy
Your use of Shield360 is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.
8. Service Level Agreement
Shield360 commits to a 99.97% monthly uptime for all paid plans, measured as follows:
- Uptime Calculation: ((Total Minutes - Downtime Minutes) / Total Minutes) x 100
- Excluded Downtime: Scheduled maintenance (announced 48 hours in advance), force majeure events, and customer-caused issues.
If we fail to meet the 99.97% SLA, eligible customers may request service credits:
- 99.9% – 99.97%: 10% credit of monthly fee
- 99.0% – 99.9%: 25% credit of monthly fee
- Below 99.0%: 50% credit of monthly fee
Credits must be requested within 30 days of the incident and are applied to future billing periods.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIELD360 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
SHIELD360'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SHIELD360 DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Shield360, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content or data you submit through the Service
11. Termination
Either party may terminate this agreement at any time:
- By You: Cancel your subscription through the dashboard or by contacting support. Cancellation takes effect at the end of the current billing period.
- By Shield360: We may suspend or terminate your account immediately for violations of these Terms, non-payment, or illegal activity. We will provide reasonable notice when feasible.
Upon termination:
- Your access to the Service will cease immediately
- You may export your data within 30 days of termination
- After 30 days, your data will be permanently deleted
- Outstanding fees remain payable
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall be resolved through:
- Informal Resolution: The parties will attempt to resolve disputes informally within 30 days.
- Binding Arbitration: If informal resolution fails, disputes will be submitted to binding arbitration administered by JAMS in San Francisco, California.
- Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions.
